These Terms and Conditions (“Terms”) govern your use of the Zerene website, mobile application, products, coaching services, and related services (collectively, the “Services”). These Services are provided by Zerene Inc. (“Zerene,” “we,” “us,” or “our”).

By purchasing, accessing, or using our Services, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

Our Mission

Zerene is designed to help users better understand and manage nighttime clenching and grinding behaviors through biofeedback, coaching, education, and personal awareness. We strive to provide a positive and informative experience while continuously improving our products and services.

Eligibility

  • You must be at least 18 years old to purchase products directly from Zerene.
  • Individuals under 18 may only use the Services with the explicit involvement and consent of a parent or legal guardian.
  • By using the Services, you represent that you have the legal authority to enter into these Terms.

The Zerene device, application, coaching services, and educational materials are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Platform & Product Use

Mobile Applications

The Zerene mobile application may be available through third-party platforms such as the Apple App Store and Google Play Store.

  • Your use of the mobile application must comply with any applicable terms imposed by those platforms.
  • Zerene is solely responsible for the Zerene application and its content.
  • Apple, Google, and their respective affiliates are not responsible for providing support, maintenance, or warranties related to the application.

Product Use Guidelines

You are responsible for using Zerene products according to provided instructions. You explicitly agree to:

  • Use products only as intended and follow all safety instructions and warnings.
  • Maintain your device in reasonable physical condition.
  • Notify Zerene immediately of any suspected product defects.
  • Provide accurate information when creating accounts or communicating with coaches.

Improper use of products may affect performance and your overall user experience.

Coaching Services & User Responsibility

Coaching services are intended to provide guidance, education, accountability, and support. Coaches do not provide medical diagnosis, medical treatment, or professional healthcare services. Recommendations provided by coaches are educational in nature and should never replace medical advice from licensed healthcare professionals.

Zerene provides tools, information, coaching, and guidance to support your training experience. You remain solely responsible for your own health decisions, behaviors, and actions. Individual outcomes vary and depend on many factors outside Zerene’s control.

Accounts & Digital Governance

Account Management

Some Services may require the creation of an account. You are strictly responsible for:

  1. Maintaining the confidentiality of your account credentials.
  2. Providing and updating accurate personal information.
  3. All activities occurring under your account profile.

You agree to notify Zerene promptly if you believe your account has been accessed without authorization.

Electronic Communications

By creating an account or using the Services, you consent to receive communications electronically, including emails, notifications, and account-related messages. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

Purchases, Financials, & Subscriptions

Purchases and Payments

When purchasing products or services from Zerene:

  • You agree to provide accurate, up-to-date payment information.
  • Prices for our products and services may change without notice.
  • Applicable taxes and shipping charges will be calculated and applied at checkout.
  • We reserve the right to decline or cancel orders when necessary.
  • All transactions are securely processed through trusted third-party payment providers.

Memberships and Subscription Services

Certain Services may be offered through recurring memberships, subscriptions, coaching programs, or service plans. If you enroll in a recurring plan:

  • Billing will occur automatically according to the cycle plan selected.
  • You may cancel future renewals at any time.
  • Cancellation stops future billing but does not automatically entitle you to a refund for services already provided.
  • Additional terms may be provided at your explicit time of enrollment.

Software Updates

From time to time, Zerene may provide updates, enhancements, bug fixes, security patches, or new features for the application, device, or Services. Some functionality may require the immediate installation of updates to continue operating properly. By using the Services, you agree that Zerene may make such updates available automatically.

Returns and Refunds

Returns, refunds, exchanges, and warranty coverage are governed by Zerene’s separate Return Policy and Warranty Policy. Any published return or warranty policy is incorporated into these Terms by reference.

Intellectual Property & User Data

User Content

You may choose to submit information, comments, feedback, testimonials, reviews, survey responses, or other content to Zerene. You retain ownership of your content.

However, by submitting content, you grant Zerene a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and display such content for purposes related to operating, improving, and promoting the Services. If we wish to identify you publicly in marketing materials, case studies, or testimonials, we will request additional permission.

Product Improvement and Research

As described in our Privacy Policy, Zerene may use anonymized, aggregated, or de-identified information generated through use of the Services to improve products, optimize training methods, conduct internal research, support educational/scientific presentations, and analyze broader user outcomes. Such data will never be used to directly identify individual users.

Intellectual Property Protection

The Services, including software, mobile applications, website content, branding, logos, graphics, designs, coaching materials, and educational content, are owned by Zerene Inc. or its licensors and are protected by applicable intellectual property laws.

You explicitly agree not to:

  • Copy, redistribute, or create derivative works based on proprietary materials.
  • Reverse engineer software except where explicitly permitted by law.
  • Use Zerene trademarks or logos without prior written permission.

Acceptable Use & Legal Boundaries

Acceptable Use Policy

You agree not to violate applicable laws, attempt unauthorized access to systems or accounts, interfere with the operation of the Services, upload malicious code, use the Services in a fraudulent or abusive manner, or misrepresent your identity.

Service Availability

We work hard to keep our Services available and functioning properly. However, we do not guarantee uninterrupted or error-free operation. From time to time, Services may be modified, updated, suspended, or discontinued.

Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis. While we strive to provide a high-quality experience, Zerene does not guarantee specific outcomes, symptom improvements, or results from use of the Services. Individual experiences will vary.

Limitation of Liability

To the fullest extent permitted by law, Zerene Inc., its officers, employees, contractors, coaches, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services.

Zerene’s total liability for any claim relating to the Services shall not exceed the amount paid by you to Zerene during the twelve months preceding the claim. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Zerene Inc. and its affiliates, employees, contractors, and representatives from claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, your violation of applicable law, or your infringement of the rights of another party.

Miscellaneous & Governance

Governing Law

These Terms shall be governed by and interpreted under the laws of the State of California, without regard to conflict-of-law principles.

Changes to These Terms and Conditions

We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page and provide notice when appropriate. Continued use of the Services after updated Terms become effective constitutes your explicit acceptance of the revised Terms.
